Specific services included in an order shall be determined by the quotation, proposal, invoice, work order, service agreement, or written communication issued by Tap4Web.

2. Acceptance of Terms

By purchasing or using any Tap4Web service, the client agrees to comply with these Terms & Conditions.

Where a separate proposal, quotation, agreement, or service-specific document is issued, the terms contained in that document shall also apply.

In case of any conflict, the mutually accepted written proposal or service agreement shall prevail for that particular project.

3. Project Scope

Every project will be developed according to the scope agreed between Tap4Web and the client.

Any feature, functionality, page, integration, API, plugin, application, software module, design element, or service not specifically included in the agreed scope may be treated as additional work and may involve additional charges.

Tap4Web reserves the right to issue a revised quotation for additional work.

4. Client Responsibilities

The client shall provide all information, content, images, logos, documents, credentials, business details, product information, and other materials reasonably required for completion of the project.

The client is responsible for ensuring that the materials supplied to Tap4Web are accurate and legally usable.

Tap4Web shall not be responsible for delays resulting from late submission of content, incorrect information, delayed approvals, lack of access or credentials, changes in requirements, payment delays, or other client-side delays.

5. Design & Development

Website and software development will be carried out according to the approved requirements and design direction.

Reasonable revisions may be provided where included in the agreed package.

Major changes to an already approved design, structure, functionality, or project scope may be considered additional work and may attract additional charges.

Once a design, layout, functionality, or development stage has been approved by the client, subsequent changes may be chargeable.

6. Project Timeline

Tap4Web will make reasonable efforts to complete projects within the estimated timeline communicated to the client.

Project timelines may change because of:

  • Delayed client approvals
  • Delayed content or documents
  • Change requests
  • Additional requirements
  • Third-party integrations
  • Hosting or domain issues
  • Payment delays
  • Technical issues beyond Tap4Web's reasonable control

Any estimated completion date is subject to timely cooperation and approvals from the client.

7. Payments

All payments must be made according to the payment schedule mentioned in the quotation, invoice, proposal, or service agreement.

Tap4Web may require an advance payment before commencing work.

Where milestone-based payments are applicable, the client shall make each payment within the agreed timeframe.

Tap4Web reserves the right to temporarily suspend development, delivery, hosting, maintenance, or other services if applicable payments remain outstanding.

Taxes, government charges, domain charges, hosting charges, paid plugins, premium themes, API charges, third-party subscriptions, licenses, and other external costs may be charged separately unless specifically included in the agreed package.

8. Service Validity from Order Date

The validity of any service purchased from Tap4Web shall commence from the date on which the order is generated or confirmed, unless otherwise specifically stated in the applicable proposal or service agreement.

The service validity period shall be calculated according to the terms, duration, conditions, and validity period mentioned in the approved proposal or written service agreement.

Any delay in providing information, documents, approvals, content, credentials, or other required inputs from the client shall not automatically extend the service validity period.

9. Order Confirmation, Cancellation, Modification & Refund

Once an order has been generated and confirmed by Tap4Web, the order shall be considered final and confirmed.

The client shall not be entitled to cancel, modify, transfer, or request a refund for the confirmed order, except where Tap4Web expressly agrees otherwise in writing or where such rights are required under applicable law.

Any payment made towards a confirmed service may be utilized towards the service, resources, manpower, development, third-party services, licenses, or other project-related requirements.

Clients are therefore advised to carefully review the proposal, scope of work, pricing, service duration, terms, and deliverables before confirming an order.

10. Domain Registration

Domain names are subject to availability and the rules of the relevant domain registrar or registry.

Tap4Web does not guarantee that a particular domain name will remain available until payment or registration is completed.

Once a domain has been successfully registered, domain-related fees may not be refundable, subject to the applicable registrar's policies.

The client is responsible for providing correct ownership and registration information.

11. Hosting Services

Where hosting is provided by Tap4Web or through a third-party hosting provider, service availability may be affected by maintenance, server failures, network problems, cyber incidents, technical limitations, or circumstances beyond Tap4Web's reasonable control.

Hosting plans may have limitations relating to storage, bandwidth, server resources, email accounts, databases, security, or other technical specifications.

Hosting renewal charges must be paid within the applicable renewal period to avoid suspension or termination.

12. Third-Party Services

Tap4Web may use third-party platforms, APIs, plugins, themes, hosting providers, payment gateways, email services, analytics tools, cloud services, or other external technologies.

Tap4Web is not responsible for changes, suspension, discontinuation, price increases, technical failures, or policy changes made by third-party providers.

Third-party subscription or renewal charges may be payable separately by the client.

13. Content & Copyright

The client warrants that it has the necessary rights, permissions, and licenses to use all content supplied to Tap4Web.

This includes:

  • Text
  • Images
  • Videos
  • Logos
  • Graphics
  • Product information
  • Documents
  • Audio
  • Software
  • Trademarks
  • Other intellectual property

Tap4Web shall not be responsible for claims arising from unauthorized or unlawful content supplied by the client.

14. Intellectual Property

Unless otherwise agreed in writing, Tap4Web retains ownership of its pre-existing tools, frameworks, source components, development methodologies, reusable libraries, templates, know-how, and proprietary systems.

Upon full payment of the agreed project charges, the client may receive the rights to use the final deliverables specifically created for the client, subject to the terms of the applicable project agreement.

Third-party software, plugins, themes, fonts, APIs, licenses, and other components remain subject to their respective owners' licensing terms.

15. Source Code

Source-code delivery, repository access, editable files, database access, deployment credentials, or other technical assets shall be provided only where specifically included in the agreed package or contract.

Tap4Web may withhold final source-code or technical handover where outstanding payments remain due.

16. Website Maintenance

Website maintenance, updates, backups, security monitoring, content changes, technical support, and bug fixing are included only when specifically mentioned in the selected service package.

New functionality or major modifications are not automatically included within maintenance services.

17. SEO & Digital Marketing

Tap4Web may provide SEO, social media, advertising, content, or digital marketing services based on the selected package.

Digital marketing results can be affected by search-engine algorithms, competition, advertising platforms, market conditions, client participation, content quality, website performance, and other factors.

Tap4Web does not guarantee a specific ranking, traffic level, lead volume, sales figure, or revenue unless a specific written guarantee has been expressly agreed.

18. Software & Application Development

Software and mobile applications are developed according to the agreed specifications.

Changes in operating systems, device specifications, third-party APIs, app-store policies, security requirements, or external technologies may require additional development work.

App-store approval is ultimately controlled by the relevant platform and cannot be guaranteed by Tap4Web.

19. Client Approval

The client is responsible for reviewing and approving designs, content, functionality, and project milestones.

Approval may be provided through email, WhatsApp, project-management software, written communication, or any other documented communication channel accepted by both parties.

Once approved, subsequent changes may be chargeable.

20. Authorized Client Team Members

Where a client wishes to involve additional team members, representatives, employees, partners, consultants, or other authorized persons in relation to the purchased services, the client must provide their relevant details to Tap4Web within 7 calendar days from the date of booking/order confirmation.

After the expiry of this 7-day period, Tap4Web may restrict official project communication and coordination to the client and the team members already registered or authorized with Tap4Web.

Tap4Web may, at its discretion, decline to entertain requests, instructions, demands, or communications from any person who has not been officially authorized by the client.

The client shall remain responsible for ensuring that all persons communicating with Tap4Web on the client's behalf are properly authorized.

21. Communication Through Third Parties

Tap4Web shall communicate regarding the project only with the client or persons officially authorized by the client.

If the client engages or instructs any third party, friend, relative, consultant, service provider, employee, representative, or any other person to contact Tap4Web for the purpose of obtaining project information, work status, internal details, documents, technical information, commercial information, or any other project-related information, Tap4Web may decline to provide such information.

Tap4Web shall not be obligated to disclose confidential, commercial, technical, project, payment, development, or internal information to any unauthorized third party.

The client shall remain solely responsible for all communications or instructions given by persons acting on the client's behalf.

22. Scope of Services & Additional Work

Tap4Web shall provide only those services, features, deliverables, functionalities, pages, modules, integrations, support, or other work items that are specifically mentioned in the approved written proposal, quotation, invoice, service agreement, or official email communication.

Any requirement, feature, modification, development work, integration, technical support, design change, additional page, additional functionality, customization, or other work not specifically included in the agreed scope shall be considered additional work.

Additional work shall be undertaken only after the applicable additional charges have been communicated and accepted by the client.

Tap4Web reserves the right to charge separately for any work that falls outside the originally agreed scope.

Verbal discussions, informal conversations, assumptions, or requests made outside the approved written scope shall not automatically constitute an inclusion in the contracted services.

23. Post-Launch Technical Issues & Additional Requirements

After the website, software, application, portal, or other project has been delivered, approved, deployed, or made live, any new technical requirement, modification, enhancement, customization, integration, functionality, configuration, third-party requirement, or technical change requested by the client may be treated as additional work.

If any technical issue occurs after the project has gone live due to third-party services, hosting/server infrastructure, plugins, themes, APIs, software updates, external integrations, changes made by the client or another service provider, security incidents, unauthorized access, or other circumstances beyond Tap4Web's reasonable control, the resolution may be subject to additional charges.

Tap4Web shall make reasonable efforts to assist in identifying and resolving technical issues. However, to the maximum extent permitted by applicable law, Tap4Web shall not be liable for indirect loss, business interruption, loss of revenue, loss of data, loss of customers, loss of business opportunity, or other consequential loss or damage arising from such technical issues.

24. Third-Party Modifications & External Service Providers

If the client or any third party modifies, accesses, changes, deletes, updates, relocates, or otherwise interferes with the website, software, application, hosting environment, database, source code, plugins, themes, APIs, configurations, or other project components without Tap4Web's authorization, Tap4Web shall not be responsible for any resulting technical issue, malfunction, data loss, security issue, downtime, or damage.

Any subsequent repair, restoration, troubleshooting, redevelopment, or technical correction required as a result of such third-party intervention may be chargeable separately.

25. Prohibited Activities

Clients shall not use Tap4Web services for activities that are unlawful, fraudulent, deceptive, malicious, or intended to harm another person or organization.

This includes activities involving malware, phishing, unauthorized access, fraud, illegal content, copyright infringement, impersonation, or other prohibited activities.

Tap4Web reserves the right to suspend or terminate services where such activity is identified.

26. Data & Privacy

Personal information shall be handled in accordance with Tap4Web's Privacy Policy and applicable laws.

27. Security

Tap4Web takes reasonable technical measures to protect its systems and client projects.

However, no internet-connected system can be guaranteed to be completely secure.

Tap4Web shall not be responsible for security incidents caused by compromised client credentials, insecure third-party services, unauthorized access, malware, vulnerabilities in third-party software, or circumstances beyond Tap4Web's reasonable control.

28. Backups

Where backup services are included, Tap4Web will make reasonable efforts to maintain backups according to the applicable service plan.

Clients are encouraged to maintain independent copies of important business data and content.

Tap4Web shall not be responsible for loss of data resulting from circumstances outside its reasonable control, particularly where independent backups have not been maintained.

29. No Liability for Business or Consequential Loss

Tap4Web provides technology and digital services based on the agreed scope and specifications.

Tap4Web does not guarantee any specific business revenue, sales, profits, customer acquisition, search-engine ranking, website traffic, conversion rate, or other commercial outcome unless expressly guaranteed in a separate written agreement.

To the maximum extent permitted under applicable law, Tap4Web shall not be liable for indirect, incidental, consequential, special, or commercial losses, including loss of revenue, profits, business opportunities, customers, data, or anticipated savings resulting from technical issues, downtime, third-party services, platform changes, cyber incidents, client actions, or circumstances beyond Tap4Web's reasonable control.

30. Force Majeure

Tap4Web shall not be considered in breach of these Terms for delays caused by circumstances beyond its reasonable control, including natural disasters, fire, internet or network failures, server failures, cyber incidents, government actions, regulatory changes, strikes, war, civil disturbance, third-party service failures, or other unforeseen events.

31. Communication

Official project communication may be conducted through email, WhatsApp, phone, project-management systems, or other communication channels mutually accepted by the parties.

Clients are responsible for providing accurate contact information and monitoring communications relating to their project.

32. Changes to Services

Tap4Web reserves the right to modify, update, suspend, or discontinue any service, feature, package, pricing, or website functionality.

Changes shall not affect services already contractually committed except where required due to legal, technical, security, or third-party circumstances.

33. Changes to Terms

Tap4Web may update these Terms & Conditions from time to time.

The updated version will be published on the website with the revised effective date.

Continued use of Tap4Web services after an applicable update may constitute acceptance of the revised Terms, subject to applicable law.

34. Written Communication & Official Scope

For the purpose of determining the agreed scope of services, the approved written proposal, quotation, invoice, service agreement, and official email communication shall be considered the primary reference documents.

Any service or commitment that is not included in the applicable written documentation shall not be considered part of the agreed scope merely because it was discussed verbally or assumed by the client.

Where additional services are requested, Tap4Web may issue a separate quotation or invoice before commencing such work.

35. Jurisdiction & Dispute Resolution

Any complaint, dispute, claim, legal proceeding, or other matter arising out of or relating to the services provided by Tap4Web, the applicable proposal, order, payment, agreement, or these Terms & Conditions shall be subject to the exclusive jurisdiction of the competent courts in Delhi, India, to the extent permitted under applicable law.

The client agrees that any legal proceedings or disputes concerning Tap4Web's services shall be initiated and pursued only before the competent courts having jurisdiction in Delhi, India.

Any jurisdiction outside Delhi shall not be considered the agreed contractual jurisdiction between the client and Tap4Web, to the extent permitted by applicable law.

Before initiating legal proceedings, the parties shall make reasonable efforts to resolve the matter through direct communication and written correspondence.

36. Severability

If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain effective to the extent permitted by law.

37. Entire Agreement

These Terms & Conditions, together with the applicable quotation, proposal, invoice, work order, service agreement, Privacy Policy, and other written terms agreed between Tap4Web and the client, constitute the understanding governing the relevant service.
